Corporate Legal Team The Corporate Legal team at Santander headquarters provides legal advice across a wide range of areas: Finance, Regulatory and ESG affairs – covering equity and debt capital markets transactions, and financial accounting and control matters. Corporate M&A – advising on structuring, implementation, and governance of Group M&A transactions. Corporate Governance – investor relations, corporate housekeeping, HR legal matters, and financial information reporting. Legal Operations and Risks – transformation, litigation, FCC, security and legal risk matters. Internal Legal Advice – support for T&O, IP, communications, marketing, digital, data, sponsorship and general services. Advice to Global Businesses – dedicated legal teams for Corporate & Investment Banking, Wealth Management & Insurance, Digital Consumer Bank, and Payments. The Difference You Make We are looking for a Legal Counsel with capital markets experience who will play a pivotal role in providing expert support to the Group’s securitizations and capital markets activities. The focus will be on: Structured finance and securitization transactions, including public and private, true‑sale and synthetic structures across multiple asset classes. Liability management, debt restructuring, and capital relief transactions. Transaction structuring, internal and regulatory authorizations, and negotiation of documents. Participation in Group committees and management bodies, ensuring consistency of legal advice. Coordination with external counsel and internal teams to align on Group standards. Risk identification, assessment, and mitigation of legal and regulatory issues. General advisory on capital, recovery, resolution, ESG, Market Abuse Regulation and regulatory licensing. Support in SREP, Annual Report drafting, and Investor Relations communications. What You’ll Bring Key qualifications include: At least 2 years of post‑qualification experience in structured finance or securitizations, general corporation, M&A, corporate governance, or regulatory matters. Qualified lawyer with solid post‑qualification experience in capital markets or banking and finance law. Track record advising complex debt and equity‑linked transactions, including hybrid capital, structured products and securitizations. Strong understanding of EU and Spanish financial regulation, prudential, resolution and market conduct frameworks. Experience negotiating transaction documentation and managing multi‑jurisdictional legal issues. Previous experience at a leading law firm or financial institution is highly desirable. Excellent Spanish and English language skills, both written and oral. Analytical, problem‑solving and decision‑making skills with exceptional attention to detail. Effective communication of complex legal concepts to non‑legal stakeholders. Collaborative mindset and ability to work across cross‑functional teams and international environments. High professional integrity, discretion, and a proactive attitude toward risk management and regulatory compliance.
