Chiesi Corporate Functions These are the functions supporting the business: Global HR Global Finance, Procurement & IT Group Legal & Corporate Affairs Global Communication & External Relations Transformation Global Strategy, Sustainability and Growth (SSG) Who we are looking for Purpose We are currently hiring for two roles: a Lead Legal Counsel Corporate Governance and a Corporate Governance Lead, both reporting to the VP Group Corporate Governance. The team has been recently created to enhance our Governance and Board management and support our growth and transformation goals, with responsibility for setting up and managing the necessary systems and processes to ensure Chiesi meets key Corporate Governance and Board of Directors reporting requirements. Main Responsibilities The Lead Legal Counsel Corporate Governance and the Corporate Governance Lead will work closely with and support the VP Group Corporate Governance in the following activities: Corporate Governance structure and procedures consolidation and further enhancement Facilitating organization and preparation for Corporate Bodies meetings and Shareholders meetings, including collaboration with relevant parties to maintain a forecast of future Board agenda items and ensure all necessary information is prepared and available for Board discussions in a timely manner. Maintaining accurate records of Board meetings, decisions, and actions by preparing meeting minutes, resolutions, and other relevant documentation as needed, adhering to corporate governance best practices Ensuring timely and accurate distribution and archiving of board materials, leveraging board management software. Managing logistics for board meetings, offsites, and committee sessions, including scheduling, venue coordination, and technology support. Carrying out research, analysis, and updates on legislative and best practices developments with specific reference to corporate governance and changes around governance for large Italian private companies as well as major competitors Fostering strong relationships with Directors, Executives, Legal team, and external advisors to ensure efficient governance processes Maintaining organizational excellence in terms of project timelines and deliverables Experience Required 5 years of experience in corporate governance, corporate law, or corporate governance auditing Previous experience in listed mid-size and large-size international companies is a plus Ability to use digital platforms (e.g. Boardroom, Dataroom) Education Degree in Law for the Lead Legal Counsel Corporate Governance Degree in Economics for the Corporate Governance Lead Languages Fluent in Italian and English Soft Skills High level of internal service culture and customer orientation Proactivity in anticipating and solving problems and achieving business objectives Ability to handle sensitive and confidential information with the utmost discretion and professionalism, adhering to ethical and legal standards High level of accuracy and attention to detail Ability to work collaboratively with other members of the team and cross-functionally Flexibility and adaptability Location Preferably based in the HQ in Parma; if not based in Parma, regular presence will be required.
